This course is an overview and refresher in the formation, operation, and termination of these business entities. The focus will be on the Federal income tax issues around these businesses, but with the viewpoint of a business located in California. Issues common to all businesses will be addressed:

  • Choosing the right entity
  • New developments, tax laws, and IRS regulations and rulings
  • Section 199 - The Domestic Production Deduction
  • Depreciation

The course will cover the details specific to each type of entity. Each has their own unique challenges and opportunities, both for the client and the tax practitioner. Items under discussion for each entity will include:

Partnerships:

  • Starting up the partnership
  • Allocating income, deductions, and credits to the partners
  • Basis issues

C Corporations:

  • Transferring assets to a new corporation
  • Controlled groups
  • Personal service corporations
  • Personal holding companies

S Corporations:

  • Making the S election
  • Fixing problems with the S election
  • Qualified subsidiaries
  • Health insurance for the shareholders
  • Stock and debt basis

LLCs:

  • Choosing how to be taxed
  • Differences between LLCs and other entities
